Terms of Service

1. Acceptance of Terms

By accessing or using the ZernoFi platform at zernofi.org ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

ZernoFi is a decentralized Real-World Asset (RWA) aggregator built on the Solana blockchain, connecting investors with verified Ukrainian agricultural businesses.

2. Eligibility

You may use the Platform only if you:

• Are at least 18 years of age
• Are not a resident of a jurisdiction where participation in DeFi or RWA protocols is prohibited
• Are not subject to sanctions by OFAC, the UN, or other applicable regulatory bodies
• Have a Solana-compatible crypto wallet (Phantom, Solflare, or Backpack)

3. Nature of the Platform

ZernoFi is a technology platform, not a licensed investment adviser, broker, or financial institution. We do not provide financial, legal, or tax advice. Nothing on this Platform constitutes an offer or solicitation to buy or sell securities.

Participation in ZernoFi pools involves depositing USDC into smart contracts that fund real agricultural operations in Ukraine. Returns depend on actual harvest outcomes and are not guaranteed.

4. Investment Risks

By using the Platform you acknowledge and accept the following risks:

• Agricultural risk — crop yields may be affected by weather, pests, drought, or conflict
• Smart contract risk — despite audits, code vulnerabilities may exist
• Regulatory risk — DeFi and RWA regulations are evolving globally
• Oracle risk — Pyth and Switchboard data feeds may experience delays or inaccuracies
• Liquidity risk — pool exits may be subject to lock-up periods tied to harvest cycles
• Currency risk — USDC is a stablecoin but not risk-free

APY figures shown on the Platform are targets, not guarantees. Past performance does not indicate future results.

5. $UAAGRO Token

The $UAAGRO utility token provides governance rights, yield boosts, and early access to new pools. It is a utility token and should not be considered a security or investment contract. Token value may fluctuate significantly. ZernoFi makes no representations about its future value.

6. Prohibited Activities

You agree not to:

• Use the Platform to launder money or finance illegal activities
• Attempt to exploit smart contract vulnerabilities
• Impersonate ZernoFi or its team members
• Use automated bots to manipulate pool mechanics
• Violate any applicable local, national, or international law

7. Intellectual Property

All content on this Platform — including text, graphics, the ZernoFi logo, and UI design — is owned by ZernoFi and protected under applicable copyright and trademark law. Smart contracts deployed on Solana are open-source under the MIT License.

8. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind. ZernoFi does not warrant that the Platform will be uninterrupted, error-free, or secure. We are not liable for any loss of funds resulting from smart contract bugs, hacks, oracle failures, or agricultural underperformance.

9. Limitation of Liability

To the maximum extent permitted by law, ZernoFi and its founders shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform, including loss of funds, lost profits, or data loss.

10. Governing Law

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles. Any disputes shall be resolved by binding arbitration, unless prohibited by your local jurisdiction.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. Material changes will be announced via our official X (Twitter) account.
